A U.S. federal judge has temporarily blocked Paramount Skydance’s proposed $110 billion acquisition of Warner Bros. Discovery. U.S. District Judge Araceli Martínez-Olguín in Oakland, California, ordered a 14-day halt to the transaction. Paramount and Warner Bros. had hoped to complete the merger by July 22, but a judge’s order delayed the deal.

The suspension follows California and 11 other states. US states Ask the court to stop the merger. They said the deal could reduce competition in the entertainment industry and give the combined company too much power in the market. The states said the merged company could have the power to raise prices in its film and television businesses, reducing competition for consumers and other companies, Reuters reported.

The lawsuit also contends Paramount and Warner Bros. are two of Hollywood’s five major studios, and merging them would reduce competition in film production and cable distribution. They also said that after the merger closes, the two companies can begin sharing confidential business information with each other. If the merger is later ruled illegal, the information cannot be “unshared.”

Judge halts merger

Judge Martinez-Holguin said states raised “serious questions” about whether the merger was legal, so she temporarily paused the deal, Bloomberg reported. If the merger goes ahead, the combined company would control about 27% of the U.S. theatrical film distribution market, the lawsuit said. The lawsuit claims that after the merger, only four companies will control more than 90% of the blockbuster market: the combined Paramount-Warner Bros., Disney, Universal Pictures and Sony Pictures.

Paramount fights claims

California and other states argue that such market concentration would reduce competition and give a few companies greater control over Hollywood. Paramount strongly opposes the lawsuit. The company said states had misrepresented U.S. antitrust laws and their legal arguments were incorrect, Reuters reported.

Paramount also argued that the delay represented years of disruption and uncertainty for the industry. The lawsuit represents a huge challenge for Paramount CEO David Ellison. He hopes the merger will create a stronger entertainment company that can better compete with streaming companies like Netflix and Disney.

What happens next in court?

Even if it faces a court challenge, the merger agreement remains in effect. According to the agreement, Paramount The company has until June 4, 2027 to complete the merger, according to Bloomberg. But if the deal isn’t completed by September 30, Paramount will have to pay Warner Bros. Discovery $7 million a day until the merger is completed.
